Description A. D. FRAZIER, JR., 65, joined the board of directors of the Company in 1997. Mr. Frazier is a co-founder and vice chairman of BOTH Holdings, LLC, and owner and chairman of WolfCreek Broadcasting, Inc., Young Harris, Georgia. He has served as chairman and chief executive officer of Danka Business Systems PLC, St. Petersburg, Florida, since March 2006, and was of Counsel with the law firm of Balch & Bingham LLP, Atlanta, Georgia, from January 2005 to March 2006. Mr. Frazier retired as a director, president, and chief operating officer of Caremark Rx, Inc., a publicly-traded pharmacy benefit management company, in March 2004, having served in that role since August 2002. From March 2001 until August 2002, he was chairman and chief executive officer of the Chicago Stock Exchange. From October 2004 until its sale in January 2007, he was a director and chairman of the board of Gold Kist, Inc., Atlanta, Georgia, an integrated chicken production, processing, and marketing company.
